1. Services Provided
OA Marketing Ltd ("we", "our", "us") provides digital marketing services to businesses, including but not limited to:
1.1 Search Engine Optimisation (SEO)
1.2 Google Ads Campaign Management
1.3 Website Design & Development
1.4 Hosting & Website Maintenance (if agreed separately)
2. Payment Terms
2.1 All fees are agreed in writing before the commencement of any work.
2.2 SEO and Google Ads services are typically billed monthly in advance via direct debit, GoCardless, or Stripe.
2.3 Web design projects may require payment in full before work begins.
2.4 Late payments may incur interest charges of 5% per month above the Bank of England base rate.
2.5 We reserve the right to pause or terminate services due to non-payment.
3. Minimum Term & Cancellation
3.1 The minimum term for ongoing services is one (1) calendar month.
3.2 In many cases, we offer a 90-day trial period to new clients.
3.3 Regardless of trial or standard terms, a minimum of 30 days’ written notice is required to cancel any ongoing services.
4. Term, Termination & Cancellation
4.1 Either party may terminate services with 30 days’ written notice after the minimum term.
4.2 Web design projects cancelled mid-build may result in partial or full forfeiture of any deposit depending on work completed.
4.3 Termination does not release the client from paying for services already rendered.
5. Client Responsibilities
To ensure the success of your campaigns, clients agree to:
5.1 Provide access to relevant platforms (e.g. Google Analytics, Google Ads, website CMS, etc.).
5.2 Respond to communication within a reasonable timeframe (typically within 2 working days).
5.3 Supply accurate and timely business information, including services offered, areas covered, and unique selling points.
5.4 Promptly approve or review key deliverables.
6. Google Ads Campaign Management
Account Setup
6.1 Edge to Edge SEO will set up the Google Ads campaign using a new Gmail account unless the client already has one.
Budget and Payments
6.2 The campaign will be run using the client’s budget, with charges applied to the client’s card.
6.3 Edge to Edge SEO will set a daily budget that fits within the client's monthly spend limit.
6.4 If the provided budget is insufficient to achieve desired results, Edge to Edge SEO will inform the client. It is the client's responsibility to approve any budget increase.
Landing Pages
6.5 Edge to Edge SEO will build landing pages for the campaign. These landing pages remain the property of Edge to Edge SEO.
6.6 If the client stops paying for Google Ads, they will no longer have access to or ownership of the landing pages.
Responsibilities
6.7 Edge to Edge SEO will manage the Google Ads campaign and make necessary adjustments to optimize performance within the agreed budget.
6.8 The client agrees to provide accurate billing information and ensure sufficient funds are available for the campaign.
Termination
6.9 The client may terminate the Google Ads campaign by providing written notice to Edge to Edge SEO. A minimum notice period of 30 days is required for cancellation.
6.10 Upon termination, access to the landing pages will be revoked.
Acceptance
6.11 By engaging Edge to Edge SEO for Google Ads services, the client agrees to these terms and conditions.
7. Performance Guarantee & Limitations
General Overview
7.1 From time to time, we may offer performance-based guarantees (such as minimum lead volumes, job bookings, or return on investment) as part of our service packages or promotional campaigns. These guarantees are conditional, not absolute, and depend on the client fulfilling their responsibilities and cooperating fully throughout the campaign.
Eligibility Requirements
7.2 Guarantees are only valid if:
7.2.1 The client responds to all leads within 1 business day and follows a consistent sales follow-up process.
7.2.2 The client provides accurate feedback on lead outcomes within 48 hours of each enquiry.
7.2.3 The client maintains agreed ad budgets and does not alter or pause campaigns without written agreement.
7.2.4 The client targets services and geographic areas recommended by us for demand and profitability (e.g., wood flooring or luxury vinyl tile).
7.2.5 The client has the operational capacity to take on additional work as outlined.
Market Demand & Targeting
7.3 Lead volume is influenced by demand in the selected location and service category. We may advise targeting high-demand areas or higher-value services (such as wood flooring or LVT). If the client chooses to target lower-demand areas or services, lead volume may vary. In such cases, guarantees related to specific lead numbers or booking volumes may not apply.
Definition of “Qualified Lead”
7.4 A qualified lead is:
7.4.1 A real person or business actively seeking the service(s) being advertised,
7.4.2 Located within the agreed geographic area,
7.4.3 Submitted via our lead system (e.g. landing page, call tracking, or ad form),
7.4.4 Contactable with accurate contact details.
7.5 We do not guarantee sales or customer conversions. We provide qualified leads, not closed deals.
8. Force Majeure (External Disruptions)
8.1 We are not liable for service disruptions or performance issues caused by events outside our control, including but not limited to:
8.1.1 Platform outages (e.g. Google Ads, Meta, web hosting downtime)
8.1.2 Changes to advertising policies or search algorithms
8.1.3 Economic downturns, political unrest, or legislative changes
8.1.4 Natural disasters or other “acts of God”
8.2 In such cases, campaign timelines may be extended or adjusted without penalty.
9. Limit of Guarantee
9.1 If all conditions are met and guaranteed performance is not achieved, the client may be offered, at our discretion:
9.1.1 A campaign extension at no extra cost, or
9.1.2 A partial/full refund, depending on the situation.
9.2 This does not apply if missed targets result from client delays, non-responsiveness, or refusal to follow agreed recommendations

10. Intellectual Property
10.1 All materials created by us remain our property until paid for in full.
10.2 Upon full payment, the client will own the rights to their website and any associated deliverables unless otherwise agreed in writing.
10.3 We reserve the right to display completed work in our portfolio unless requested otherwise.
11. Confidentiality
11.1 Both parties agree to keep confidential any information deemed sensitive, including but not limited to strategy documents, access credentials, client data, and trade secrets.
12. Limitation of Liability
12.1 We are not liable for any loss of profit, business interruption, or indirect damages.
12.2 Our total liability is limited to the amount paid by the client for the services in the 3 months preceding the claim.
13. Legal Jurisdiction
13.1 These terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.
14. Updates to Terms
14.1 We reserve the right to update these Terms & Conditions at any time. Clients will be notified of material changes in writing or via email.
15. General
15.1 Upon acceptance of the direct debit form, Edge to Edge SEO agrees to perform the Services for the Customer for the Price.
15.2 The Price is payable by direct debit as stipulated by Edge to Edge SEO on the Start Date and on the first day of each calendar month thereafter until the Agreement is terminated in accordance with clause 3 or 4. Where the Start Date is not the first day of a calendar month, the Price for that month will be adjusted pro rata.
15.3 All work requested by the Customer in addition to the Services which Edge to Edge SEO agrees to perform (“Additional Work”) will incur charges (“Charges”) additional to the Price. Unless otherwise agreed in writing:
16. Warranties
16.1 Each party warrants that:
16.1.1 The execution and delivery of this Agreement has been properly authorised;
16.1.2 It has full power to execute, deliver and perform its obligations under this Agreement;
16.1.3 This Agreement constitutes a legal, valid and binding obligation enforceable in accordance with its terms by appropriate legal remedy;
16.1.4 This Agreement does not conflict with or result in the breach of or default under any provision of its constitution, trust deed, or any material term or provision of any law or regulation to which it is a party or subject or by which it is bound;
16.1.5 There are no actions, claims, proceedings or investigations pending or threatened against it or by it of which it is aware and which may have a material effect on the subject matter of this Agreement.
Edge to Edge SEO Warranties
16.2 Edge to Edge SEO warrants that:
16.2.1 It will exercise reasonable skill, care and attention in providing the Services and any Additional Work;
16.2.2 It will only use honest, ethical and legitimate techniques and accepted methods in providing the Services and any Additional Work.
Customer Warranties
16.3 The Customer warrants that:
16.3.1 The Website will be hosted on a reliable server located in the Country of Interest;
16.3.2 The Website will be online and functional at all times;
16.3.3 It will provide Edge to Edge SEO with all information necessary to allow Edge to Edge SEO to access the Website to perform the Services;
16.3.4 It will as soon as practicable inform Edge to Edge SEO of all changes to the Website, including but not limited to passwords and content;
16.3.5 It will abide by the terms of the direct debit agreement between the Customer, Edge to Edge SEO and the direct debit service provider nominated by Edge to Edge SEO;
16.3.6 It will not engage any other party to provide any part of the Services in relation to the Website during the Term;
16.3.7 It will comply with all laws relating to the Website;
16.3.8 The Website will not contain any material that is illegal or unethical, including but not limited to racism, pornography, breaches of privacy, harassment, computer viruses, breaches of copyright or trademarks or incitement of any illegal or unethical activity;
16.3.9 Any SEO or SEM applied to or in relation to the Website previous to this Agreement has not utilised any dishonest, unethical or illegitimate techniques or accepted methods.
17. Customer’s Acknowledgements
17.1 The Customer acknowledges that:
17.1.1 It should add fresh, relevant content to the Website regularly in order to maximise the beneficial effect of the Services;
17.1.2 Any unavailability of the Website will adversely affect its ranking and the benefit of the Services;
17.1.3 The Customer’s liability to pay the Price is not affected in any way by the failure of Edge to Edge SEO to provide the Services by reason of the unavailability of the Website, invalidity of FTP or CMS information;
17.1.4 The efficacy of the Services is dependent upon the decisions, algorithms and indexing of third party search engines which are beyond the control of Edge to Edge SEO;
17.1.5 Website ranking is subject to the activities of the search engines, competitor website operators and competitor keyword advertisers/users and the effect of those activities is beyond the control of Edge to Edge SEO;
17.1.6 Edge to Edge SEO makes no representation or warranty that the Website will achieve or maintain any specific position or ranking.
18. Indemnity
18.1 The Customer hereby unconditionally and irrevocably agrees to indemnify and keep indemnified Edge to Edge SEO and its officers, employees and agents against any and all actions, claims, demands, losses, liabilities or costs (including legal costs) which arise or result from or are connected in any way with the Services, except to the extent that it arises out of any breach of this Agreement by Edge to Edge SEO.
19. Limitation of Liability
19.1 If the Customer is a “consumer” for the purposes of the Edge to Edge SEO Consumer Law, certain guarantees may be conferred on the Customer and certain rights and remedies may be conferred on the Customer which cannot be excluded, restricted or modified. If so, then to the maximum extent permitted by law the liability of Edge to Edge SEO to the Customer is limited at the option of Edge to Edge SEO:
19.1.1 In the case of goods, to the replacement or repair of the goods or the cost of replacing or repairing the goods;
19.1.2 In the case of services, to the resupply of the services or payment of the cost of re-supplying the services.
19.2 The liability of Edge to Edge SEO to the Customer for negligence and breach of contract is limited to the cost of replacing the relevant part of the Services.
19.3 To the maximum extent permitted by law, Edge to Edge SEO excludes all representations, warranties or guarantees whether express or implied by statute, trade or otherwise.
20. Website on 24-Month Contract – Terms
20.1 What’s included:
A fully managed website including hosting, maintenance, on-page SEO, all necessary pages for a local flooring business, up to 10 location pages, and full support. Reasonable updates are included (see clause 20.8).
20.2 Upgrade option:
If you upgrade to one of our SEO or Full Marketing Packages, your website payments will stop immediately from the first month of the new package. After 3 months on the upgraded package, your website will be considered fully paid for.
20.3 Early cancellation:
If you cancel before the 24-month contract is completed, we retain full control and ownership of the website until payments resume or the remaining balance is paid in full, unless you upgrade to the full marketing package.
We reserve the right to remove the website if payments are not made.
20.4 Hosting:
All websites must remain hosted on our servers for the full 24-month contract.
We do not permit self-hosting during this period unless the website has been paid off in full (either via 24 monthly payments or early settlement).
If payments are not made, we reserve the right to remove the website, regardless of hosting arrangement.
20.5 Copyright and ownership:
You always retain ownership of your domain name.
However, all website files and content remain our property until the full 24-month payment term is complete.
If you copy, clone, or re-upload the website to another server or domain without fulfilling payment terms, we reserve the right to take legal action, including claiming damages.
20.6 Access:
We do not provide backend access during the 24-month term unless otherwise agreed. All changes must be submitted to us.
20.7 Website build:
All websites are built using our pre-designed templates for the flooring industry.
We do not offer fully custom designs or content.
We reserve the right to use your website in our portfolio or as a case study.
20.8 Unlimited updates:
We offer unlimited updates within reason. We will build a maximum of 5 new pages during the 24-month term (e.g. for new services or locations).
We do not create custom pages or pages unrelated to the flooring industry.
If requests exceed what we consider reasonable, we reserve the right to decline them.
Additional pages beyond the included allowance will be charged at $100 per page, unless otherwise agreed in writing.
20.9 Timeline:
We aim to launch your website within 1 month (up to 2 months in some cases).
We will write all content, build all pages, and complete the full upload without needing client input.
Once the site is live, you may request changes.
20.10 One-off payment option:
You may choose to pay the full cost of the website upfront instead of monthly. All support, updates, and maintenance terms will still apply for the full 24 months.
20.11 Money-back guarantee:
You are eligible for a full refund if you request it within 30 days of the website going live — but only after we’ve attempted to resolve any reasonable concerns.
If we deem your requests to be unreasonable, we reserve the right to refund you and remove the website entirely.
20.12 Payment default:
If you default on payments, you will have a 30-day grace period. If payment is not received within that window, we reserve the right to remove the website.
No ownership is transferred until the full 24-month payment term is complete.
20.13 Post-contract options (after 24 months):
Once your 24-month contract is complete and fully paid, you have two options:
Option 1: Continue with full support, updates, and maintenance on a 30-day rolling contract at a reduced rate of $199/month (previously $299).
Option 2: Switch to hosting-only at $50/month. This includes no support or updates. Any requested changes will be billed at $100/hour.
20.14 Website ownership (after 24 months):
After 24 months, the website becomes fully yours. You may request access to all files upon completion of the contract.
20.15 Email support disclaimer:
We do not set up, manage, or provide support for email services or issues. You are responsible for your own email setup and providers.
